Governing the use of eradigital.ai and platform.eradigital.ai

1. Introduction and Acceptance of Terms

Welcome to Era, operated by Era Digital Limited ("Era", "we", "us", or "our"), a company incorporated in the Isle of Man. These Terms of Service ("Terms") govern your access to and use of our websites at eradigital.ai and platform.eradigital.ai, together with all content, tools, features, data, software, AI-generated commentary, community features, and services (collectively, the "Platform" or "Services").

By accessing or using any part of the Platform, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, our Cookie Policy, and any supplementary terms (collectively, the "Agreement"). If you do not agree, you must immediately cease all use of the Platform.

We may modify these Terms at any time. Material changes will be communicated via the Platform or email. Your continued use constitutes acceptance of revised Terms.

2. Important Regulatory Notice and Disclaimers

THIS SECTION IS OF CRITICAL IMPORTANCE.

2.1 Era Is Not a Regulated Financial Services Provider

Era is not authorised, regulated, licensed, or registered by the Isle of Man Financial Services Authority ("IOMFSA"), the Financial Conduct Authority ("FCA"), the Securities and Exchange Commission ("SEC"), the Commodity Futures Trading Commission ("CFTC"), the Monetary Authority of Singapore ("MAS"), or any other financial regulatory authority worldwide. Era does not hold any licence as a broker-dealer, investment adviser, commodity trading adviser, transfer agent, exchange, fund manager, custodian, or any other regulated entity.

2.2 No Investment Advice

Nothing on the Platform constitutes financial advice, investment advice, trading advice, tax advice, legal advice, or any personal recommendation. All information, data, commentary, analysis, scores, rankings, thematic basket compositions, macro indicators, sentiment readings, technical analysis, screener outputs, AI-generated summaries, and other content ("Era Content") is provided solely for educational, informational, and research purposes. Era Content is not tailored to any individual. You should consult qualified professionals before making any investment decision.

2.3 No Solicitation or Inducement to Trade

Nothing on the Platform constitutes: (i) an offer to buy or sell any asset; (ii) a solicitation; (iii) an inducement to trade; (iv) a recommendation; or (v) a promotion of any financial product, service, or strategy.

2.4 No Custody of Assets

Era does not and will not hold, control, manage, safeguard, or have custody of any of your assets. Era is not a custodian, trustee, or fiduciary. Era has no broker, bank, or financial institution affiliation. Era derives no revenue from trading, commissions, or spreads.

2.5 No Fiduciary Relationship

Use of the Platform does not create any fiduciary, advisory, agency, partnership, or employment relationship. Era does not monitor whether your use is consistent with your financial objectives.

2.6 Subscription-Based Educational Platform

Era's sole business model is subscription fees for informational tools. Any reference to "intelligence", "signals", "scores", "co-pilot", "edge", or similar language describes informational tools — not advisory services or recommendations.

2.7 Do Your Own Research

You must conduct independent research before any investment decision. Never rely solely on Era Content, AI outputs, technical analysis, or screener results.

3. Eligibility and User Accounts

3.1 Age

You must be at least 18 years old (or the age of majority in your jurisdiction) to use any part of the Platform.

3.2 Restricted Jurisdictions

The Platform is not available to, and must not be accessed or used by, any person who is a resident of, located in, incorporated in, or has a registered office in any Restricted Jurisdiction. "Restricted Jurisdictions" means: Cuba, Iran, North Korea (DPRK), Syria, Russia, Belarus, the Crimea, Donetsk, and Luhansk regions of Ukraine, Myanmar (Burma), and any other jurisdiction subject to comprehensive sanctions imposed by the United Kingdom, the United States, the European Union, or the Isle of Man.

By accessing the Platform, you represent and warrant that you are not in a Restricted Jurisdiction. Era reserves the right to block access, suspend accounts, and withhold services from anyone it reasonably believes is in a Restricted Jurisdiction.

The Platform is also not intended for use where it would subject Era to any registration or licensing requirement Era does not satisfy. Era may restrict access from any jurisdiction at its sole discretion.

3.3 Account Registration

Certain features require registration. You warrant that all information is current, complete, and accurate. Your account is personal and must not be shared. You are responsible for all activity under your account. Notify contact@eradigital.ai of any unauthorised access.

3.4 Account Termination

Era may suspend or terminate your account at any time, with or without cause or notice. You may terminate at any time. No refunds except as provided in Section 5.

4. Description of Services

The Platform provides educational and informational tools for self-directed investors:

• Cockpit: Daily market snapshots across equities, crypto, gold, silver, and oil.
• Thematic Baskets: 14 curated themes tracking grouped US equities. Informational constructs only — not managed portfolios or recommendations.
• Crypto Scoring: Proprietary rankings for top 10 cryptos via Era's macro regime switching alpha model. Experimental and educational only.
• Macro Dashboard & Sentiment: Aggregated macroeconomic data and cross-asset sentiment indicators.
• Technical Analysis: Charting and indicators across equities, crypto, and commodities:
  • (a) Equities: TA and screening tools via embedded TradingView widgets. All data within TradingView widgets is produced by TradingView, not Era. Screener results that filter, rank, or flag assets do not constitute recommendations by Era. Subject to TradingView's own terms.
  • (b) Crypto and Commodities: TA generated by Era, supplemented by AI commentary.

  All technical analysis and screener outputs are educational only. Indicators can produce false signals, may contradict each other, and do not account for fundamental events. The appearance of any asset in screener results is not a recommendation. Never rely on TA or screener results as the sole basis for any decision.

• Screener: Stock and crypto screening via TradingView widgets. Outputs by TradingView, not Era. Not recommendations. Educational only.
• AI-Generated Commentary: From Anthropic (Claude), xAI (Grok), OpenAI, or other providers. May interpret technical analysis patterns.
• Watchlist: Multi-asset tracking with intraday updates.
• Community: User discussion features. Subject to Section 10.
• AI Agents (Coming Soon): Automated monitoring, idea generation, alerts. Outputs are informational only — not advice or trading instructions. May produce inaccurate outputs.
• Curiosity: Free educational content.

Era may modify, suspend, or discontinue any Service at any time without liability.

5. Subscriptions, Fees, and Billing

5.1 Tiers

Free Tier and paid Pro Tier(s). Era may modify tiers and pricing at any time.

5.2 Free Trial

Currently 7 days for monthly subscriptions. Auto-converts to paid unless cancelled. Era sends a reminder before expiry.

5.3 Billing

Pro subscriptions billed monthly in advance. All payments are processed by Dodo Payments, Inc. ("Dodo Payments"), acting as Merchant of Record. This means Dodo Payments is the legal seller of record for your subscription — Dodo Payments handles payment processing, tax calculation and remittance (including VAT, GST, and sales tax), chargebacks, and refund processing. Era does not process, store, or have access to your payment card details at any time. Dodo Payments is PCI-DSS compliant. Era is not responsible for errors, failures, or delays in payment processing by Dodo Payments.

5.4 PPP Adjustments

Era may offer location-adjusted pricing. May be revoked if misused (including via VPNs).

5.5 No Refunds

Except as required by applicable consumer protection law, all fees are non-refundable. Cancellation takes effect at end of billing period.

5.6 Price Changes

At least 30 days' notice for increases to existing subscribers.

6. Data Sources, Third-Party Content, and AI-Generated Content

6.1 Third-Party Data Sources

The Platform aggregates data from FRED, TradingView, CoinGecko, Massive.com, X (formerly Twitter), and various news providers ("Third-Party Data"). Era makes no warranty as to accuracy, completeness, timeliness, or reliability. Era does not independently verify all data.

6.2 AI-Generated Content

Era uses AI from Anthropic, xAI, OpenAI, or others. You acknowledge: (a) AI may contain errors, hallucinations, biases; (b) it does not reflect Era's views; (c) it must not be relied upon for investment decisions; (d) Era disclaims all liability; (e) quality depends on third-party providers; (f) verify independently.

6.3 Third-Party Links

Era has no control over third-party websites. Access at your own risk.

6.4 Embedded Widgets

TradingView and CoinGecko charting and screener widgets are rendered by third parties on a pass-through basis. Era does not control or verify them. Widgets may independently collect data (IP, interaction data, cookies) under the provider's own privacy policy. Era may replace or remove any widget at any time.

6.5 Application Hosting and Data Storage

The Platform is hosted by Emergent (emergent.sh), a third-party application hosting provider. Emergent acts as a data processor on Era's behalf. Your data is stored in databases located in the United States (US Central). By using the Platform, you acknowledge and consent to your data being transferred to and stored in the United States. Era has implemented appropriate safeguards for these international data transfers, including its hosting provider's published security commitments and certifications, including encryption of data at rest and in transit, ISO certification, SOC 2 Type 1 certification, and isolated preview environments. Emergent does not sell personal data to third parties and does not use customer data to train AI models without explicit consent. 7. Proprietary Models

Era's thematic baskets, crypto scoring model, sentiment algorithms, and analytical frameworks ("Era Models") are Era's exclusive IP, provided for educational purposes only. Past performance is not indicative of future results. Thematic baskets are informational constructs, not managed portfolios. Inclusion of any asset is not a recommendation. Reverse engineering is prohibited.

8. Assumption of Risk

BY USING THE PLATFORM, YOU ASSUME THE FOLLOWING RISKS:

• (a) Investment Risk: Total loss of principal possible. NEVER INVEST MORE THAN YOU CAN AFFORD TO LOSE.
• (b) Cryptocurrency Risk: Extreme volatility, hacks, exchange insolvency, regulatory prohibition, total loss.
• (c) Commodities Risk: Unpredictable macro and geopolitical factors.
• (d) Data Risk: Data may be delayed, incomplete, inaccurate, or stale.
• (e) AI and Technology Risk: AI may hallucinate. Platform may experience downtime.
• (f) Technical Analysis Risk: False signals, contradictory indicators, no account of fundamentals.
• (g) Screener Risk: Third-party outputs. Appearance of any asset is not investment merit.
• (h) Regulatory Risk: Laws may change, affecting the Platform or your assets.
• (i) Exchange and Counterparty Risk: Third parties may fail. Era accepts no liability.
• (j) Tax Risk: You are solely responsible for all tax obligations.
• (k) Data Transfer Risk: Your data is stored in the United States (US Central). While Era implements appropriate safeguards, data stored outside the Isle of Man, UK, and EU may be subject to different data protection standards and may be accessible to foreign governments under local laws.
• (l) Sole Responsibility: You are solely responsible for all investment decisions.

9. Intellectual Property

All Era IP is owned by or licensed to Era Digital Limited. You receive a limited, revocable, non-exclusive, non-transferable, personal licence for non-commercial educational use only. Feedback is granted to Era under a perpetual, royalty-free licence.

10. Community Features and User-Generated Content

Community features are for educational discussion only. You are responsible for your User Content. Users must not provide investment advice to others. By posting, you grant Era a perpetual, royalty-free licence. Era may moderate or remove content at its discretion. Era is not liable for User Content. Reliance on User Content is at your sole risk. Disputes with other users: you release the Era Parties from all related claims.

11. Acceptable Use

You shall not: (a) scrape, copy, or redistribute Era Content; (b) reverse engineer the Platform or Era Models; (c) use Era Content to train competing AI systems; (d) share account credentials; (e) interfere with the Platform; (f) upload malware; (g) use the Platform unlawfully; (h) misrepresent your identity, age, or location; (i) redistribute Era Content as financial advice; (j) engage in market manipulation; (k) commercially redistribute Services; (l) provide investment advice to other users via community features.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

The Platform and all Era Content are provided "AS IS" and "AS AVAILABLE" without warranties of any kind. Era disclaims all implied warranties. Era does not warrant availability, accuracy, or error-free operation. This extends to pre-release features. You use the Platform at your own risk.

13. Limitation of Liability

13.1 THE ERA PARTIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING TRADING LOSSES, INVESTMENT LOSSES, OR DIMINUTION IN VALUE, REGARDLESS OF LEGAL THEORY.

13.2 TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE LESSER OF: (A) FEES PAID IN THE PRECEDING 12 MONTHS; OR (B) US$100.

13.3 FREE TIER USERS: NO DAMAGES.

13.4 These limitations are a reasonable allocation of risk and essential basis of the bargain.

13.5 Era Parties are specifically not liable for: (i) reliance on Era Content, AI, TA, screener results; (ii) third-party data, widget, or hosting provider errors; (iii) your investment decisions; (iv) third-party broker, exchange, custodian, or payment processor (including Dodo Payments) failures; (v) asset value changes; (vi) Platform interruptions; (vii) User Content; (viii) international data transfers or data storage in the US.

13.6 Nothing excludes liability for death/personal injury from negligence, fraud, or any liability that cannot be excluded by law.

14. Indemnification

You indemnify the Era Parties against all claims arising from: (a) your use of the Platform; (b) investment decisions based on Era Content, TA, screener results, or AI outputs; (c) breach of these Terms; (d) violation of law or third-party rights; (e) disputes with third parties; (f) your User Content; (g) your use of community features. Era may assume defence of any indemnified matter.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales.

15.2 Jurisdiction

Subject to 15.3, the courts of England and Wales have exclusive jurisdiction.

15.3 Arbitration

Era may elect to refer any dispute to binding arbitration under LCIA rules. Seat: London. Single arbitrator. English language. Confidential. Award final and binding.

15.4 Class Action Waiver

YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

15.5 Jury Trial Waiver

YOU AND ERA EACH WAIVE THE RIGHT TO A JURY TRIAL.

15.6 Time Limitation

Any claim must be brought within one (1) year or be permanently barred.

16. Referral Programme

Rewards at Era's sole discretion. May be modified or terminated. No cash value. Self-referrals and abuse result in forfeiture and potential termination.

17. Privacy and Data Protection

Your use is governed by our Privacy Policy. The Platform is hosted by Emergent. Your data is stored in the United States (US Central). We process data under the Isle of Man GDPR and LED Implementing Regulations 2018 and (where applicable) the UK GDPR, Data Protection Act 2018, and EU GDPR. International data transfers are subject to appropriate safeguards including its service providers' published security certifications and contractual commitments, including encryption, ISO and SOC 2 Type 1 certification, and data isolation. 18. Changes to the Platform

Era may modify, suspend, or discontinue any feature at any time without notice or liability.

19. Electronic Communications

By providing your email, you consent to receiving service and (with consent) promotional communications. You may opt out of promotional emails but not service communications.

20. Termination

Era may terminate your access at any time for any reason. Upon termination, all licences cease. Survival: Critical Risk Warning, Sections 2, 6, 7, 8, 9, 10 (licence and liability provisions), 12, 13, 14, 15, 17, and this Section 20.

21. Force Majeure

Era is not liable for failures caused by events beyond its reasonable control, including acts of God, pandemics, war, cyberattacks, governmental actions, sanctions, power outages, internet failures, failures of third-party data providers, AI providers, hosting providers, or payment processors, or changes in law.

22. General Provisions

22.1 Entire Agreement with Privacy Policy, Cookie Policy, and supplementary terms. 22.2 Severability. 22.3 No waiver by inaction. 22.4 Era may assign; you may not. 22.5 No third-party rights under Contracts (Rights of Third Parties) Act 1999. 22.6 Notices via email, Platform, or other reasonable means; yours to legal@eradigital.ai. 22.7 No reliance on non-stated representations. 22.8 No partnership, agency, or fiduciary relationship. 22.9 Headings for convenience only. 22.10 English prevails.
