Governing the use of eradigital.ai and platform.eradigital.ai

1. Introduction and Acceptance of Terms

Welcome to Era Digital, operated by Era Digital Limited ("Era", "we", "us", or "our"), a company incorporated in the Isle of Man. These Terms of Service ("Terms") govern your access to and use of our websites located at eradigital.ai and platform.eradigital.ai, together with all content, tools, features, data, software, AI-generated commentary, community features, and services provided through these websites (collectively, the "Platform" or "Services").

By accessing or using any part of the Platform, whether as a registered user or visitor, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, our Cookie Policy, and any supplementary terms, guidelines, or policies referenced herein (collectively, the "Agreement"). If you do not agree to these Terms, you must immediately cease all access to and use of the Platform.

We reserve the right to modify, amend, or replace these Terms at any time in our sole discretion. Material changes will be communicated via the Platform or by email to registered users. Your continued use of the Platform following such notification constitutes your acceptance of the revised Terms.

2. Important Regulatory Notice and Disclaimers

THIS SECTION IS OF CRITICAL IMPORTANCE.

2.1 Era Is Not a Regulated Financial Services Provider

Era Digital Limited is not authorised, regulated, licensed, or registered by the Isle of Man Financial Services Authority ("IOMFSA"), the Financial Conduct Authority ("FCA") in the United Kingdom, the Securities and Exchange Commission ("SEC") in the United States, the Commodity Futures Trading Commission ("CFTC"), the Monetary Authority of Singapore ("MAS"), or any other financial regulatory authority in any jurisdiction worldwide. Era does not hold, and has not applied for, any licence, registration, or authorisation as a broker-dealer, investment adviser, commodity trading adviser, transfer agent, exchange, fund manager, custodian, or any other type of regulated financial services entity.

2.2 No Investment Advice

Nothing on the Platform constitutes, or should be construed as constituting, financial advice, investment advice, trading advice, tax advice, legal advice, or any other form of professional advice or personal recommendation. All information, data, commentary, analysis, scores, rankings, thematic portfolio compositions, macro indicators, sentiment readings, technical analysis, screener outputs, AI-generated summaries, and any other content provided through the Platform (collectively, "Era Content") is provided solely for general informational, educational, and research purposes.

Era Content is not tailored to the investment needs, objectives, financial situation, or risk tolerance of any individual user. Any investment decision you make is solely your responsibility. You should consult with qualified, independent, and appropriately regulated financial, legal, and tax professionals before making any investment or trading decisions.

2.3 No Solicitation, No Offer, No Inducement to Trade

Nothing on the Platform constitutes: (i) an offer to buy or sell any security, commodity, cryptocurrency, digital asset, financial instrument, or any other asset; (ii) a solicitation of an offer to buy or sell any such asset; (iii) an inducement, invitation, or encouragement to engage in any trading or investment activity; (iv) a recommendation to buy, sell, hold, or otherwise transact in any specific asset or class of assets; or (v) a promotion of any particular financial product, service, strategy, or course of action.

2.4 No Custody of Assets

Era does not and will not at any time hold, control, manage, safeguard, or have custody of any of your assets, funds, securities, cryptocurrencies, digital assets, or any other property of any kind. Era is not a custodian, trustee, or fiduciary. You retain sole and exclusive control over, and responsibility for, all of your assets at all times. Era has no broker affiliation, bank affiliation, or connection to any financial institution. Era derives no revenue from trading, commissions, spreads, or transaction-based fees of any kind.

2.5 No Fiduciary Relationship

Use of the Platform does not create any fiduciary relationship, advisory relationship, agency relationship, partnership, joint venture, employment relationship, or relationship of trust or confidence between you and Era. Era owes you no fiduciary duty, duty of care, or duty of loyalty in connection with any investment or trading decisions you may make.

2.6 Subscription-Based Educational Platform

Era is a subscription-based educational intelligence platform. Our sole business model is the provision of informational tools and data aggregation services in exchange for periodic subscription fees. Any reference on the Platform to "intelligence", "signals", "scores", "rankings", "analysis", "insights", "co-pilot", "edge", or similar language is intended solely to describe the informational nature of the Platform and must not be construed as a recommendation or inducement.

2.7 Do Your Own Research

You must conduct your own independent research and due diligence before making any investment or trading decision. You must never rely solely on Era Content, AI-generated outputs, technical analysis, screener results, or any data displayed on the Platform as the basis for any financial decision.

3. Eligibility and User Accounts

3.1 Age and Legal Capacity

You must be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction (whichever is greater), to use any part of the Platform. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement.

3.2 Restricted Jurisdictions

The Platform is not available to, and must not be accessed or used by, any person who is a resident of, located in, incorporated in, or has a registered office in any Restricted Jurisdiction. "Restricted Jurisdictions" means: Cuba, Iran, North Korea (DPRK), Syria, Russia, Belarus, the Crimea, Donetsk, and Luhansk regions of Ukraine, Myanmar (Burma), and any other jurisdiction subject to comprehensive sanctions imposed by the United Kingdom, the United States, the European Union, or the Isle of Man.

By accessing the Platform, you represent and warrant that you are not located in, and are not a citizen or resident of, any Restricted Jurisdiction. If you access the Platform from a Restricted Jurisdiction, you do so in violation of these Terms and at your sole risk. Era reserves the right to block access, suspend accounts, and withhold any funds or services from any person Era reasonably believes is accessing the Platform from a Restricted Jurisdiction.

The Platform is also not intended for use in any jurisdiction where such use would subject Era to any registration, licensing, or regulatory requirement that Era does not currently satisfy. Era reserves the right to restrict or block access from any jurisdiction at its sole discretion without prior notice.

3.3 Account Registration

Access to certain features requires registration. By registering, you represent that all information you provide is current, complete, and accurate. Your account is personal and must not be shared with any third party. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities under your account. Notify us at contact@eradigital.ai if you suspect unauthorised access.

3.4 Account Termination

We may suspend, restrict, or terminate your account at any time, with or without cause, and with or without notice. You may terminate your account at any time. No refunds shall be issued except as provided in Section 5.

4. Description of Services

The Platform provides educational and informational tools for self-directed investors. Services currently include:

• Cockpit: A daily market snapshot across US public equities, major cryptocurrencies, gold, silver, and oil.
• Thematic Portfolios: 14 curated investment themes tracking grouped US public equities. These are informational constructs only — not managed portfolios, model portfolios, or investment recommendations.
• Crypto Scoring: Proprietary rankings for the 10 largest cryptocurrencies by market cap, derived from Era's macro regime switching alpha model. Experimental and educational only.
• News Intel: AI-powered news curation connecting financial news with prediction market data (including Polymarket).
• Macro Dashboard and Sentiment Intelligence: Aggregated macroeconomic data and cross-asset sentiment indicators.
• Technical Analysis: Charting and indicators across equities, crypto, and commodities:
  • (a) Equities: Technical analysis and screening tools are provided via embedded TradingView widgets. Charts, indicators, screener outputs, filtered lists, rankings, technical ratings, and all data within TradingView widgets are produced and controlled entirely by TradingView, not by Era. Screener results that filter, rank, or flag assets do not constitute investment recommendations by Era. Your use of TradingView widgets is subject to TradingView's own terms.
  • (b) Crypto and Commodities: Technical analysis is generated or curated by Era, supplemented by AI-generated commentary.

  All technical analysis and screener outputs are for educational and informational purposes only. Technical indicators can produce false signals, may contradict each other, and do not account for fundamental events. The appearance of any asset in screener results does not constitute a recommendation by Era. You must never rely on technical analysis or screener results as the sole basis for any investment decision.

• Screener: Stock and crypto screening via embedded TradingView widgets. Outputs are produced entirely by TradingView. The appearance of any asset in screener results does not constitute a recommendation. For educational purposes only.
• AI-Generated Commentary: Short-form commentary from third-party AI models, including interpretations of technical analysis.
• Watchlist: Multi-asset tracking with intraday updates.
• Community: Interactive features for registered users. Subject to Section 10.
• AI Agents (Coming Soon): Automated monitoring, idea generation, risk flagging, and alerts. AI Agent outputs are informational only — not investment advice or trading instructions. May produce inaccurate outputs.
• Curiosity: Free educational content.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without liability to you.

5. Subscriptions, Fees, and Billing

5.1 Subscription Tiers

The Platform offers a Free Tier and paid Pro Tier(s). Era reserves the right to modify tiers, features, and pricing at any time.

5.2 Free Trial

Free trials last for the period specified on the Platform (currently 7 days) and auto-convert to paid subscriptions unless cancelled. Era will send a reminder before expiry.

5.3 Billing and Payment

Pro subscriptions are billed monthly in advance. All payments are processed securely by Stripe, Inc. By subscribing, you agree to Stripe's terms of service. Era does not store or have access to your full credit card or payment card details — all payment data is handled by Stripe in accordance with PCI-DSS. Era is not responsible for errors, failures, or delays in Stripe's payment processing. All fees are quoted exclusive of applicable taxes unless otherwise stated.

5.4 Purchasing Power Parity

Era may offer adjusted pricing for certain countries. Eligibility is determined by Era and may be revoked if misused (including via VPNs).

5.5 No Refunds

Except as required by applicable consumer protection law, all fees are non-refundable. Cancellation takes effect at the end of the current billing period.

5.6 Price Changes

We may change fees at any time with at least 30 days' notice to existing subscribers.

6. Data Sources, Third-Party Content, and AI-Generated Content

6.1 Third-Party Data Sources

The Platform aggregates data from the Federal Reserve Economic Data (FRED), TradingView, CoinGecko, Massive.com, X (formerly Twitter), Polymarket, and various news providers via News API or similar services (collectively, "Third-Party Data"). Era does not own or control Third-Party Data and makes no warranty as to its accuracy, completeness, timeliness, or reliability. Era does not independently verify all third-party information.

6.2 AI-Generated Content

Era may utilise AI models from Anthropic (Claude), xAI (Grok), OpenAI, or any other provider. You acknowledge that: (a) AI content may contain errors, hallucinations, biases, or omissions; (b) it does not reflect Era's views; (c) it must not be relied upon for investment decisions; (d) Era disclaims all liability for AI-generated content; (e) quality depends on third-party providers and may be interrupted; (f) you must verify independently.

6.3 Third-Party Links

Era has no control over, and assumes no responsibility for, third-party websites.

6.4 Prediction Market Data

Data from prediction markets (including Polymarket) reflects market-implied probabilities and does not constitute a forecast or recommendation by Era. Era is not affiliated with Polymarket.

6.5 Embedded Third-Party Widgets

Features including TradingView charting and screener widgets are rendered by third-party providers on a pass-through basis. Era does not control or verify embedded content. Embedded widgets may independently collect data about you (including IP addresses and cookies) subject to the provider's own privacy policy. Era may replace or remove any widget at any time.

7. Proprietary Models, Methodologies, and Thematic Portfolios

7.1 Proprietary Nature

Era's thematic portfolios, crypto scoring model, sentiment algorithms, AI matching logic, and analytical frameworks ("Era Models") are Era's exclusive intellectual property, provided for educational purposes only.

7.2 No Performance Guarantee

Past performance is not indicative of future results. Era makes no guarantee that any Era Model will be accurate, reliable, or profitable.

7.3 Not Model Portfolios

Thematic portfolios are informational constructs. Era does not execute trades, manage portfolios, or take positions on behalf of users. Inclusion of any asset does not constitute a recommendation.

7.4 Reverse Engineering Prohibited

You may not reverse engineer, replicate, or use the Era Models to train any system or AI model.

8. Assumption of Risk

BY USING THE PLATFORM, YOU ACKNOWLEDGE AND ASSUME THE FOLLOWING RISKS:

• (a) Investment Risk: All investments carry risk including total loss of principal. NEVER INVEST MORE THAN YOU CAN AFFORD TO LOSE.
• (b) Cryptocurrency Risk: Extreme volatility, protocol failures, hacks, exchange insolvency, regulatory prohibition, and total loss of value.
• (c) Commodities Risk: Prices influenced by unpredictable macroeconomic and geopolitical factors.
• (d) Data Risk: Data may be delayed, incomplete, inaccurate, or stale.
• (e) AI and Technology Risk: AI outputs may be incorrect, misleading, or hallucinated. Platform may experience downtime or failures.
• (f) Technical Analysis Risk: Indicators can produce false signals, may contradict each other, and do not account for fundamental events.
• (g) Screener Risk: Screener results are generated by third-party tools. Appearance of any asset does not indicate investment merit.
• (h) Regulatory Risk: Changes in law may affect the Platform or assets you invest in.
• (i) Exchange and Counterparty Risk: Third-party brokers, exchanges, and custodians may fail. Era accepts no liability for them.
• (j) Tax Risk: You are solely responsible for all tax obligations.
• (k) Sole Responsibility: You are solely responsible for all investment decisions.

9. Intellectual Property

All Era IP is owned by or licensed to Era Digital Limited. Subject to compliance with these Terms, you receive a limited, revocable, non-exclusive, non-transferable, personal licence for non-commercial educational use only. Any Feedback you submit is granted to Era under a perpetual, royalty-free licence.

10. Community Features and User-Generated Content

Community features are for general educational discussion only. You are solely responsible for your User Content. Users must not provide investment advice to other users. By posting, you grant Era a perpetual, royalty-free licence to use your content. Era may moderate or remove content at its discretion. Era is not liable for User Content. Reliance on User Content is at your sole risk. If you dispute with another user, you release the Era Parties from all related claims.

11. Acceptable Use

You shall not: (a) scrape, copy, or redistribute Era Content; (b) reverse engineer the Platform or Era Models; (c) use Era Content to train competing AI systems; (d) share account credentials; (e) interfere with the Platform; (f) upload malware; (g) use the Platform unlawfully; (h) misrepresent your identity, age, or location; (i) redistribute Era Content as financial advice; (j) engage in market manipulation; (k) commercially redistribute Services; (l) provide investment advice to other users via community features.

12. Disclaimers and Exclusion of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

The Platform and all Era Content are provided "AS IS" and "AS AVAILABLE" without warranties of any kind. Era disclaims all implied warranties including merchantability, fitness for purpose, accuracy, reliability, and non-infringement. Era does not warrant availability, accuracy, or error-free operation. This extends to alpha, beta, and pre-release features. You use the Platform at your own risk.

13. Limitation of Liability

13.1 THE ERA PARTIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING TRADING LOSSES, INVESTMENT LOSSES, OR DIMINUTION IN VALUE, REGARDLESS OF LEGAL THEORY.

13.2 TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE LESSER OF: (A) FEES PAID IN THE PRECEDING 12 MONTHS; OR (B) US$100.

13.3 FREE TIER USERS SHALL NOT BE ENTITLED TO ANY DAMAGES.

13.4 These limitations apply to all claims and represent a reasonable allocation of risk.

13.5 Era Parties are specifically not liable for: (i) reliance on Era Content, AI outputs, TA, screener results; (ii) third-party data or widget errors; (iii) your investment decisions; (iv) third-party broker, exchange, custodian, or payment processor (including Stripe) failures; (v) asset value changes; (vi) Platform interruptions; (vii) User Content.

13.6 Nothing excludes liability for death/personal injury from negligence, fraud, or any liability that cannot be excluded by law.

14. Indemnification

You indemnify the Era Parties against all claims arising from: (a) your use of the Platform; (b) investment decisions based on Era Content, TA, screener results, or AI outputs; (c) breach of these Terms; (d) violation of law or third-party rights; (e) disputes with third parties; (f) your User Content; (g) your use of community features. Era may assume defence of any indemnified matter.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales.

15.2 Jurisdiction

Subject to Section 15.3, each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction.

15.3 Arbitration

Era may elect to refer any dispute to binding arbitration under LCIA rules. Seat: London. Single arbitrator. English language. Confidential. Award final and binding.

15.4 Class Action Waiver

YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

15.5 Jury Trial Waiver

YOU AND ERA EACH WAIVE THE RIGHT TO A JURY TRIAL.

15.6 Time Limitation

Any claim must be brought within one (1) year or be permanently barred.

16. Referral Programme

Referral rewards are at Era's sole discretion, may be modified or terminated at any time, have no cash value, and are subject to anti-abuse provisions. Self-referrals and fake accounts result in forfeiture and potential termination.

17. Privacy and Data Protection

Your use is governed by our Privacy Policy. We process data under the Isle of Man GDPR and LED Implementing Regulations 2018 and (where applicable) the UK GDPR, Data Protection Act 2018, and EU GDPR.

18. Changes to the Platform

Era may modify, suspend, or discontinue any feature at any time without notice or liability.

19. Electronic Communications

By providing your email (via registration, waitlist, or otherwise), you consent to receiving electronic communications including service announcements, trial reminders, and (with consent) promotional emails. You may opt out of promotional emails at any time but not service communications.

20. Termination

Era may terminate your access at any time for any reason. Upon termination, all licences cease. Survival: Critical Risk Warning, Sections 2, 6.2, 7, 8, 9, 10 (licence and liability provisions), 12, 13, 14, 15, and this Section 20.

21. Force Majeure

Era is not liable for failures caused by events beyond its reasonable control, including acts of God, pandemics, war, cyberattacks, governmental actions, sanctions, power outages, internet failures, failures of third-party data providers, AI providers, or payment processors, or changes in law.

22. General Provisions

22.1 Entire Agreement: These Terms, Privacy Policy, Cookie Policy, and supplementary terms constitute the entire agreement. 22.2 Severability: Invalid provisions are modified or severed without affecting remaining provisions. 22.3 Waiver: No failure to exercise any right constitutes a waiver. 22.4 Assignment: Era may assign without consent; you may not. 22.5 Third-Party Rights: No rights under the Contracts (Rights of Third Parties) Act 1999. 22.6 Notices: Via email, Platform posting, or other reasonable means. Your notices to legal@eradigital.ai. 22.7 No Reliance: You have not relied on any representation not set out herein. 22.8 No partnership, joint venture, agency, or fiduciary relationship. 22.9 Headings are for convenience only. 22.10 English language prevails over translations.
